POSFLOW Terms of Service
1. Acceptance and Scope
These Terms of Service (these "Terms") are a binding agreement between POSFLOW Geospatial Inc. ("POSFLOW", "we", "us", or "our") and you, the individual or organization using the Service ("you", "your", or "Customer"). Please read them carefully. By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy, which explains how we handle information.
Plain-language summaries appear in shaded boxes throughout. They are provided for convenience only and are not part of the agreement.
By accessing or using POSFLOW — including our web application, APIs, processing engines, reports, and related services (collectively, the "Service") — you accept these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.
If you and POSFLOW have signed a separate written agreement covering the Service (such as an enterprise master agreement), that agreement controls to the extent it conflicts with these Terms.
2. Definitions
- "Customer Content" means the data and files you upload to or submit through the Service, including GNSS observation files (e.g., RINEX and receiver raw formats), navigation and meteorological data, station and antenna metadata, coordinates, processing settings you supply, and any other project materials you provide.
- "Output" means the results the Service generates for you from your Customer Content, including quality-control reports, converted files, coordinate solutions, transformation results, visualizations, and exports.
- "Usage Data" means technical and operational data generated by your use of the Service, such as log data, feature-usage events, performance metrics, device and browser information, and diagnostic data. Usage Data does not include the contents of your Customer Content or Outputs.
- "Aggregated Data" means Usage Data, and statistical information derived from the operation of the Service, that has been aggregated or de-identified so that it does not identify you, any individual, or your projects.
- "Plan" means the subscription tier, credits pack, or other offering you select, with the features, quotas, and limits described on our pricing page at the time of purchase.
- "Documentation" means the user guides, help content, and API documentation we make available for the Service.
3. Eligibility, Accounts, and Registration
3.1 Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into contracts. You may not use the Service if you are barred from doing so under applicable law, including export control and sanctions laws (see Section 18).
3.2 Registration. You agree to provide accurate, current, and complete registration information and to keep it updated. You may register with an email address and password or, where offered, through a supported identity provider (currently Google or GitHub).
3.3 Account security. You are responsible for maintaining the confidentiality of your credentials and API keys, and for all activity under your account. Use a strong password, and enable multi-factor authentication where available in your account settings. Notify us promptly at service@posflow.ai of any suspected unauthorized access or security incident involving your account.
3.4 Organizational use. If your Plan includes multiple seats, your administrators are responsible for managing users, permissions, and data access within your organization, and you are responsible for your users' compliance with these Terms.
4. The Service, Plans, and License
4.1 The Service. POSFLOW provides cloud tools for GNSS data upload, storage, format conversion, quality analysis, precision processing, coordinate transformation, visualization, and reporting.
4.2 License to you. Subject to these Terms and your Plan, POSFLOW grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service and Documentation for your internal business, professional, research, or personal purposes.
4.3 Plans, quotas, and limits. Features, monthly processing-job quotas, file-size limits, retention periods, seats, and API access depend on your Plan and are described on our pricing page. We meter usage in processing jobs; jobs that fail due to a platform error are not counted against your quota (or are credited back).
4.4 Free tier. We offer a free Plan so you can evaluate and use the Service at no charge. The free Plan is provided as-is, with limited quotas and short retention periods, and we may change its features or limits, or discontinue it, at any time.
4.5 Beta features. We may offer features identified as alpha, beta, preview, early access, or experimental ("Beta Features"). Beta Features are optional, provided as-is without warranties or support commitments, may change or be withdrawn at any time, and may be subject to additional terms presented when you enable them. Do not rely on Beta Features for production or deadline-critical work.
4.6 Service changes. We continuously improve the Service and may add, modify, or remove features. If a change materially reduces the core functionality of your paid Plan, we will notify you reasonably in advance where practicable, and you may cancel under Section 11.6.
4.7 Availability and support. We work to keep the Service available and reliable, but we do not promise uninterrupted or error-free operation, and no service-level agreement applies unless we have signed one with you. Support channels and target response times for your Plan are described on our pricing page. Scheduled and emergency maintenance may temporarily interrupt the Service.
5. Customer Content, Outputs, and Data Rights
5.1 Your ownership. As between you and POSFLOW, you retain all right, title, and interest in and to your Customer Content and your Outputs. Nothing in these Terms transfers ownership of your data to us.
5.2 Our license from you. You grant POSFLOW a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, process, transform, display, and back up Customer Content and Outputs, solely as necessary to (a) provide, secure, and support the Service; (b) prevent or address technical or security problems; (c) comply with law; and (d) as you otherwise direct through the Service (for example, when you create a share link or submit data to an external processing service under Section 9). This license ends when your Customer Content and Outputs are deleted from the Service, except for limited retention in backups as described in our Privacy Policy.
5.3 What we will never do. We do not sell Customer Content or Outputs. We do not use them for advertising. We do not use your Customer Content or Outputs to train machine-learning models.
5.4 Aggregated Data. POSFLOW owns and may use Usage Data and Aggregated Data to operate, secure, benchmark, and improve the Service (for example, understanding which file formats and constellations are most used, or how long jobs take). We will not disclose Aggregated Data in a form that identifies you, any individual, or your projects.
5.5 Output templates and formats. POSFLOW retains all rights in the report templates, layouts, styles, visualization designs, and file-format tooling used to generate Outputs. This does not limit your ownership of the data contained in your Outputs, and you may use, copy, and distribute your generated reports and result files freely, including with the POSFLOW attribution they carry.
5.6 Your responsibilities for Customer Content. You represent that you have all rights, licenses, and permissions needed to upload and process your Customer Content through the Service, and that doing so does not violate law or third-party rights. GNSS data can reveal sensitive locations, infrastructure, and field operations; you are responsible for determining whether your data is subject to confidentiality, national geodata, surveying/mapping, export-control, public-records, or contractual restrictions, and for complying with them.
5.7 Share links. The Service lets you create share links that make specific reports accessible to anyone who has the link, without a POSFLOW account. You control creation and revocation of share links and are responsible for whom you share them with.
6. Data Protection, Retention, and Deletion
6.1 Privacy. Our collection and handling of personal data is described in our Privacy Policy. For Customer Content, we act on your instructions as described there and in these Terms.
6.2 Retention schedule and your copies. Processing tasks and their associated files are retained for the period defined by your Plan (as published on our pricing and security pages) and are then deleted automatically. The Service is a processing platform, not an archive. You are responsible for downloading and retaining your own copies of Customer Content and Outputs you need to keep. POSFLOW is not liable for the deletion of data in accordance with the published schedule.
6.3 Deletion. You may delete individual files and tasks through the Service, and you may request deletion of your account and associated data as described in the Privacy Policy. Deleted data may persist in encrypted backups for a limited period before being overwritten in the ordinary course.
6.4 Security. We apply administrative, technical, and organizational safeguards appropriate to the Service, as described on our Security & Data Handling page. You must not test, scan, or probe the Service for vulnerabilities except as described in our vulnerability-reporting process or with our prior written authorization.
7. Acceptable Use
You must not, and must not permit anyone to:
- use the Service in violation of applicable law, or to infringe or misappropriate any third party's rights;
- upload or transmit malicious code, or attempt to compromise, disable, or circumvent the security or integrity of the Service or its data;
- access accounts, data, or systems without authorization, or probe or test the Service for vulnerabilities without permission (Section 6.4);
- interfere with the Service or other users, including by imposing an unreasonable load on infrastructure, circumventing quotas, rate limits, or Plan restrictions, or creating accounts through automated means;
- scrape, harvest, or bulk-extract data from the Service other than your own Customer Content and Outputs through provided interfaces;
- reverse engineer, decompile, or disassemble the Service, or copy, resell, rent, lease, or provide the Service to third parties as a service bureau, except to the extent a restriction is prohibited by law;
- use the Service to develop a competing product, or to benchmark the Service for publication without our consent;
- use the Service for unlawful tracking or surveillance of individuals, or in connection with weapons of mass destruction or other activities prohibited under export-control law (Section 18); or
- misrepresent Outputs as certified, licensed, or government-issued results, or remove required third-party attributions from generated reports.
We may investigate suspected violations and may throttle, suspend, or terminate access under Section 14.
8. API Terms
8.1 Access. Where your Plan includes API access, you may create API keys and use our documented APIs to access the Service programmatically for your own use.
8.2 Keys and security. API keys identify your account. Keep them confidential; do not embed them in public code, client-side applications, or shared documents. You are responsible for all use of your keys and must revoke and rotate any key you believe is compromised.
8.3 Rate limits and quotas. API usage is subject to your Plan's rate limits and processing-job quotas, which we enforce technically. Do not attempt to evade limits (for example, by distributing requests across accounts or keys). We may adjust rate limits to protect the stability of the Service, and will publish material changes.
8.4 Automated processing. Automated and batch use is welcome within your Plan's limits. Implement reasonable retry behavior with backoff; abusive automated traffic may be throttled or blocked.
8.5 Changes. We may update the APIs and will use reasonable efforts to avoid breaking documented behavior; where a breaking change is required, we will provide reasonable advance notice through the Documentation or the Service.
9. Third-Party Tools and External Services
9.1 Third-party components. The Service incorporates third-party and open-source software and tools (for example, GNSS quality-analysis and conversion engines), which we use under their respective licenses. These components run on our infrastructure; you receive no separate license to, and may not extract or download, the third-party binaries themselves.
9.2 External positioning services. Certain features can, at your direction, submit your Customer Content to external processing services operated by third parties, including government agencies — currently OPUS (NOAA National Geodetic Survey, United States), CSRS-PPP (Natural Resources Canada), and AUSPOS (Geoscience Australia). When you use these features: (a) you instruct us to transmit the selected files and your submission email address to the selected service; (b) your use of that service is subject to its own terms and policies; (c) results are produced by, and credited to, that agency; and (d) availability, accuracy, and turnaround are outside our control. Do not use these features for data that may not lawfully be transmitted to the country in which the service operates.
9.3 Other integrations. The Service relies on third-party infrastructure, payment processors, identity providers, email delivery, and error-monitoring services, as listed in our Privacy Policy. We are not responsible for third-party services outside our control, but we select providers that support the security and reliability of the Service.
10. GNSS Data, Accuracy, and Professional Responsibility
10.1 Nature of GNSS processing. Positioning and quality-analysis results are inherently dependent on factors outside POSFLOW's control, including: the quality, completeness, and duration of your observation data; satellite geometry, availability, and health; ionospheric and tropospheric conditions; multipath, obstructions, and interference at the observation site; receiver and antenna hardware, firmware, and calibration models; the accuracy of ephemeris, clock, and other reference products; the reference frame, datum, and epoch of the requested output; and the algorithms and limitations of the processing engines and external services used. Reported precision estimates are statistical indicators, not guarantees of accuracy.
10.2 Your professional responsibility. The Service is a tool that assists — and does not replace — professional judgment. You are solely responsible for independently validating Outputs before relying on them, including field checks, redundancy, and quality review appropriate to your application, and for compliance with the surveying, engineering, geodetic, and licensing standards that apply to your work. Outputs are not certified survey results, legal boundary determinations, or regulatory submissions.
10.3 Prohibited high-risk uses. The Service is not designed, tested, or licensed for real-time navigation, machine guidance or control, or use in systems where failure could lead to death, personal injury, or severe physical or environmental damage — including aircraft navigation, autonomous-vehicle operation, life-support, or other safety-of-life applications. You must not use the Service or Outputs for such purposes.
10.4 Coordinate systems. You are responsible for selecting the correct coordinate reference systems, datums, epochs, and transformation parameters for your work, and for verifying that transformed coordinates are fit for your purpose.
11. Fees, Billing, Renewal, and Cancellation
11.1 Fees. You agree to pay the fees for your Plan as displayed at purchase, plus any applicable taxes. Except as stated in these Terms, fees are exclusive of taxes, and you are responsible for applicable sales tax, VAT, GST, or similar charges (excluding taxes on our income).
11.2 Billing and auto-renewal. Paid subscriptions are billed in advance on a monthly or annual cycle and renew automatically at the end of each cycle at the then-current rate for your Plan, until cancelled. Payments are processed by our third-party payment processors; we do not store full payment-card credentials.
11.3 Cancellation. You may cancel your subscription at any time in your account settings. Cancellation takes effect at the end of the current billing period: you keep paid features until then, and your Plan then converts to the free tier. We do not charge cancellation fees.
11.4 Refunds. Except where required by applicable law or expressly stated otherwise, fees are non-refundable and non-creditable, including for partial billing periods or unused quota. Nothing in this section limits any non-waivable statutory withdrawal or refund rights you have as a consumer in your jurisdiction. We may, at our discretion, issue refunds or credits in individual cases (for example, verified platform failures); doing so does not obligate us to do so again.
11.5 Credits. Prepaid processing credits, where offered, are consumed per processing job, expire as stated at purchase, and are non-refundable except as required by law. Jobs that fail due to a platform error do not consume credits.
11.6 Fee and Plan changes. We may change fees or Plan limits. Changes take effect at your next renewal, and for material adverse changes to a paid Plan we will give you at least 30 days' notice by email or in-product message. If you do not accept a change, cancel before it takes effect; continued renewal constitutes acceptance.
11.7 Failed payments and downgrade. If a renewal payment fails, we will retry for a limited period and notify you. If payment cannot be collected, we may downgrade your account to the free tier. We do not delete your account data as a payment-collection measure; after downgrade, free-tier limits (including retention periods) apply going forward.
12. Intellectual Property and Feedback
12.1 Our IP. POSFLOW and its licensors retain all right, title, and interest in and to the Service, including the software, processing engines and workflows, algorithms, user interfaces, designs, report templates, Documentation, and trademarks — excluding your Customer Content and Outputs. Except for the rights expressly granted in these Terms, no license is granted, by implication or otherwise.
12.2 Improvements. Any improvements, modifications, and derivative technologies we develop relating to the Service — including improvements informed by Aggregated Data or your Feedback — belong to POSFLOW. This section does not give us any rights in your Customer Content or Outputs beyond the license in Section 5.2.
12.3 Feedback. If you send us suggestions, ideas, or other feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free right to use it without restriction or obligation to you. Feedback never includes your Customer Content.
12.4 Copyright complaints. If you believe content available through the Service infringes your copyright, notify us at service@posflow.ai with enough detail to identify the material and your rights; we will investigate and take appropriate action, which may include removal and account measures for repeat infringers.
13. Confidentiality
Each party may receive non-public information from the other that is marked or reasonably understood to be confidential ("Confidential Information") — for you, this includes your Customer Content and Outputs; for POSFLOW, non-public product, security, and pricing information. The receiving party will use Confidential Information only as needed to perform under these Terms, protect it with at least reasonable care, and not disclose it except to employees, contractors, and service providers bound by comparable obligations, or where disclosure is required by law (with notice to the other party where legally permitted). This obligation lasts for as long as the information remains confidential.
14. Term, Suspension, and Termination
14.1 Term. These Terms apply from your first use of the Service until your account is closed.
14.2 Termination by you. You may stop using the Service at any time and close your account by contacting support.
14.3 Suspension and termination by us. We may suspend or restrict your access, or terminate your account, if: (a) you materially breach these Terms (including the Acceptable Use rules) and, where the breach is curable, fail to cure it within a reasonable period after notice; (b) your use creates a security, legal, or operational risk to the Service or others; (c) undisputed fees remain unpaid after notice and a reasonable cure period (see Section 11.7 — non-payment normally results in downgrade, not termination); or (d) we are required to do so by law. Where practicable, we will notify you and, for suspensions, restore access once the issue is resolved.
14.4 Effect of termination. On termination, your license to use the Service ends. Customer Content and Outputs remaining in the Service are deleted in accordance with the retention schedule and the Privacy Policy; because retention periods are short, export anything you need before closing your account. We may retain records we are legally required to keep (for example, billing records) and Aggregated Data.
14.5 Survival. Sections that by their nature should survive termination do so, including Sections 2, 5.3-5.6, 12, 13, 14.4-14.5, 15, 16, 17, 19, and 21.
15. Warranties and Disclaimers
15.1 Our commitment. We will provide the Service with reasonable skill and care.
15.2 Disclaimer. EXCEPT AS EXPRESSLY STATED IN THESE TERMS AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, DOCUMENTATION, AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND POSFLOW DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. POSFLOW DOES NOT WARRANT THAT OUTPUTS WILL MEET ANY PARTICULAR ACCURACY, PRECISION, OR QUALITY THRESHOLD, OR ANY PROJECT, FIELD, CONTRACTUAL, OR REGULATORY REQUIREMENT (SEE SECTION 10).
15.3 Consumer rights. Some jurisdictions do not allow certain warranty disclaimers. Nothing in these Terms excludes or limits any warranty or right that applicable law does not permit to be excluded or limited, and if you use the Service as a consumer you retain all non-waivable statutory rights.
16. Limitation of Liability
16.1 Excluded damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE SAME EXTENT, POSFLOW WILL NOT BE LIABLE FOR LOSS OF DATA THAT WAS DELETED IN ACCORDANCE WITH THE PUBLISHED RETENTION SCHEDULE OR THAT YOU FAILED TO EXPORT AS DESCRIBED IN SECTION 6.2, OR FOR DECISIONS MADE OR ACTIONS TAKEN IN RELIANCE ON OUTPUTS CONTRARY TO SECTION 10.
16.2 Liability cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, POSFLOW'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO POSFLOW FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) FIFTY US DOLLARS (US $50).
16.3 Exceptions. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for gross negligence or willful misconduct where such limits are not permitted.
16.4 Allocation of risk. The parties agree that this Section 16 reflects a reasonable allocation of risk given the nature and price of the Service, and that POSFLOW's pricing depends on it.
17. Indemnification
17.1 By you. You will defend and indemnify POSFLOW and its officers, employees, and contractors against third-party claims, and resulting damages, penalties, and reasonable costs (including legal fees), to the extent arising from: (a) your Customer Content, including claims that it was uploaded or processed without sufficient rights or in violation of law; (b) your use of the Service in violation of these Terms, including Sections 7, 9.2, 10.3, and 18; or (c) your products, services, or professional deliverables that incorporate Outputs. If you are a consumer, this section applies only to the extent permitted by the law of your place of residence.
17.2 Process. We will notify you promptly of any claim subject to indemnification, allow you to control the defense (with counsel reasonably acceptable to us), and cooperate at your expense. You may not settle a claim in a way that imposes obligations on us without our consent.
18. Export Control, Sanctions, and Legal Compliance
You must comply with all applicable export control, sanctions, and import laws, including those of the United States, in your use of the Service. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive sanctions, and that you are not a sanctioned or restricted party. You must not upload, process, or transmit data — nor direct submissions to external services under Section 9.2 — in violation of export-control or national geodata regulations, including rules that restrict the cross-border transfer of survey, mapping, or precise-positioning data collected in particular countries. You are responsible for knowing whether such rules apply to your data.
19. Governing Law and Dispute Resolution
19.1 Governing law. These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods.
19.2 Venue. Subject to Section 19.3, the state and federal courts located in New Castle County, Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, and each party consents to personal jurisdiction there.
19.3 Consumer forum protections. If you are a consumer resident in a jurisdiction whose law grants you the right to bring or defend proceedings in your local courts or under your local law, nothing in this Section 19 deprives you of that right.
19.4 Informal resolution first. Before filing a claim, each party agrees to try to resolve the dispute informally by written notice to the other and at least 30 days of good-faith discussion.
20. Changes to These Terms
We may update these Terms from time to time. For material changes we will give at least 30 days' advance notice by email or in-product message, and the updated Terms will apply from the stated effective date. If you do not agree to a material change, you may cancel your subscription before it takes effect (Section 11.3); continued use after the effective date constitutes acceptance. The current version, with its effective date and version number, is always available on our website, and we will keep prior versions available on request.
21. General Provisions
21.1 Entire agreement; precedence. These Terms, together with the Privacy Policy and any Plan-specific or Beta terms presented to you in the Service, are the entire agreement between you and POSFLOW regarding the Service and supersede prior discussions. If you have a signed agreement with us, it prevails over these Terms to the extent of any conflict.
21.2 Assignment. You may not assign these Terms without our prior written consent, except to a successor in a merger, acquisition, or sale of substantially all assets, with notice to us. We may assign these Terms in connection with a merger, acquisition, financing, or reorganization, or to an affiliate.
21.3 Force majeure. Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, internet or utility failures, satellite-system or reference-product outages, and failures of third-party services. The affected party will use reasonable efforts to mitigate and resume performance.
21.4 Severability; waiver. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the remainder will remain in effect. A failure to enforce a provision is not a waiver of the right to enforce it later.
21.5 Notices. We may provide notices by email to your registered address or through the Service; you may provide notices to service@posflow.ai. Notices are deemed given when sent.
21.6 Relationship; third parties. The parties are independent contractors. These Terms create no partnership, agency, or employment relationship, and confer no rights on third parties except as expressly stated.
21.7 Language. These Terms are drafted in English. Translations are provided for convenience; the English version controls to the extent permitted by law.
